These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services operated by American Marketing Alliance SPC ("AMA," "we," "us"), including amaspc.com, localeventplanner.ai, funlist.ai, businesscalendar.ai, localmarketingtool.ai, marketingco-op.ai, and thurstonai.com (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

AMA is incorporated as a Social Purpose Corporation under Washington State law (RCW 23B.25). Our corporate governance permanently ties business decisions to community benefit. This means:

• Community impact is weighed in every material business decision
• Local data generated through our platform is treated as a community resource
• Our SPC structure cannot be quietly removed — it is embedded in our articles of incorporation

You may use our Services to:

• Discover and create events in your community
• Manage business visibility and marketing
• Access AI-powered planning and intelligence tools
• Connect with local organizations and sponsors
• Participate in the AMA Network ecosystem

You agree not to:

• Use the Services for any unlawful purpose
• Scrape, crawl, or harvest data without authorization (see our AI Access Policy)
• Interfere with the operation of the Services
• Impersonate others or provide false information
• Attempt to circumvent security measures or access controls

The Services, including all content, features, and functionality, are owned by American Marketing Alliance SPC and are protected by copyright, trademark, and other intellectual property laws.

Proprietary terms including ConnectScore and Funalytics Score™ are trademarks of AMA SPC.

User-generated content: You retain ownership of content you submit to our Services. By submitting content, you grant AMA a non-exclusive, worldwide license to use, display, and distribute that content within the AMA Network to provide and improve our Services.

Our Services use AI to generate recommendations, plans, analytics, and other content. You acknowledge that:

• AI-generated content is provided for informational purposes and should be reviewed before acting upon
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content
• You are responsible for verifying AI-generated content before relying on it for business decisions
• AI-generated content will be identified as such wherever it appears

To the maximum extent permitted by law, AMA SPC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Services.

Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the amounts you paid to AMA in the 12 months preceding the claim.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
